Welcome to NADAKKI AI Suite ("Service"), operated by NADAKKI ("we," "our"). By accessing or using our Service at https://nadakki.com, you agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

NADAKKI AI Suite is a multi-tenant enterprise AI platform for marketing automation that provides:

• AI Marketing Agents: specialized agents for content generation, lead scoring, and campaign optimization
• Social Media Management: Publishing and analytics for Facebook, Instagram, LinkedIn, TikTok, Twitter, Pinterest, and YouTube
• Analytics and Reporting: Comprehensive dashboards and performance metrics
• Campaign Automation: Intelligent workflow automation and scheduling

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice when possible.

3.1 Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your access credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Types

We offer different account types with varying features and limitations:

• Individual Accounts: For personal use or small businesses
• Team Accounts: For organizations with multiple users
• Enterprise Accounts: Custom solutions for large institutions

3.3 Age Requirement

You must be at least 18 years old to create an account and use our Service.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

4.2 Responsibility for AI-Generated Content

You are solely responsible for reviewing, editing, and publishing any content generated by our AI agents. AI-generated content must be verified for accuracy before publication.

5.1 Our Intellectual Property

The Service, including all content, features, functionality, software, code, user interface, graphics, design, and documentation, is the property of NADAKKI and is protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes, subject to these Terms.

5.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Remove copyright or proprietary notices
• Transfer, sublicense, or assign your rights under these Terms
• Use the Service to develop competing products

5.4 Ownership of AI-Generated Content

Content generated by our AI agents based on your inputs belongs to you, subject to any underlying third-party rights. You grant us a license to use such content to improve our Service.

6.1 Your Content

You retain ownership of the content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free license to use, store, and process such content in order to provide the Service.

6.2 Content Representations

You represent and warrant that:

• You own or have the rights to use and share your User Content
• Your User Content does not infringe third-party rights
• Your User Content complies with applicable laws
• Your User Content is accurate and not misleading

6.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

Our Service integrates with third-party platforms and services. Your use of such integrations is subject to the terms and policies of those third parties.

We are not responsible for the content, privacy policies, or practices of third-party services. You acknowledge and agree that we will not be liable for any loss or damage caused by your use of third-party services.

8.1 Fees and Billing

Paid features are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

8.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees using your designated payment method.

8.3 Price Changes

We may change our prices with at least 30 days' notice. Price changes take effect at the start of your next billing period.

8.4 Taxes

You are responsible for all applicable taxes. Fees are exclusive of taxes unless otherwise stated.

9.1 Availability

While we strive to maintain high availability, the Service is provided "as available." We do not guarantee uninterrupted, secure, or error-free operation.

9.2 AI Limitations

Our AI agents have inherent limitations:

• AI-generated content may contain inaccuracies
• Results may vary depending on the quality of inputs
• AI recommendations should not replace professional judgment
• Performance depends on the availability of third-party APIs

9.3 Usage Limits

Your subscription plan includes usage limits (API calls, storage, users). Exceeding these limits may result in additional charges or service restrictions.

9.4 Maintenance

We may perform scheduled or emergency maintenance that temporarily limits access to the Service. We will provide advance notice when possible.

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless NADAKKI, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your violation of applicable laws

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Termination takes effect at the end of your current billing period.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without prior notice, including for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended periods of inactivity

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy, unless retention is required by law.

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws provisions.

14.2 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at support@nadakki.com to attempt to resolve the dispute informally.

14.3 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

14.4 Class Action Waiver

You agree that any dispute resolution proceeding will be conducted solely on an individual basis and not as a class, consolidated, or representative action.

14.5 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.
